The group will support and promote the involvement of its members in civic and charitable endeavors through mutual cooperation, joint planning and organized execution; To provide support and guidance for individualized growth will lead to the advancement of the various communities of its membership.
The purposes of which the YORUBAS OF ATLANTA is organized are exclusively cultural, charitable and educational within the meaning of section 501(c)(3) of the internal revenue code of 1986 or the corresponding provision of any future United States Revenue Law.
2.) Location: The principal office of the Association shall be located in the City of Atlanta, County of Fulton, State of Georgia. The initial address of the Association is P.O.Box 830877, Stone Mountain, Georgia 30083, and elsewhere as determined by the Executive Committee.
A.) The purposes for which the Association is formed and for which it shall exist are:
I.) To devote the energies of the Association and its members to foster the awareness and understanding of the rich culture of the Yoruba in metropolitan Atlanta an in the United States of America;
ii.) To eliminate the prejudice and discrimination that Yorubas and people of African descent experience and encourage the inclusion of the rich Yoruba culture in the larger society's push for improvement in family values;
iii.) To encourage the discussion of the relevance of traditional Youruba culture to the larger society's push for improvements in family values and quality of life;
iv.) The association will as a group periodically organize and participate in various cultural activities that promote and demonstrate the rich culture of the Yorubas;
v.) The Association will identify individuals and organizations who are promoting the rich culture of the Yorubas and encourage and support their activities in fostering greater awareness and understanding of the culture of the Yorubas;
vi.) The Association will support and encourage involvement of its members in civic and charitable endeavors through mutual cooperation, joint planning and organized execution; and
vii.) The Association will respond in one voice to any individual or organization that denigrate Yoruba peoples and their culture and its members will refrain from any act that may denigrate Yoruba peoples and culture;
vii.) The Association through its activities will encourage and develop cultural exchange between Yorubas in Nigeria and other African countries and Yoruba and Yorubas and other people committed to the understanding of Yoruba culture in the United States;
B.) The Association is organized exclusively for Charitable, Scientific and Educational purposes as defined in Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code.
Notwithstanding any other provisions of these Articles of Association:
I.) No part of the net earning of the Association shall inure to the benefit of any of the officers of the Association, its members or any private individual (except that reasonable may be paid for services rendered to the Association or for the Association affecting one or more of its purposes);
ii.) No substantial part of the activities of the Association shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the Association shall not participate in or intervene in (including the publishing or distribution of statements concerning) any political campaign on behalf of any candidate for public office;
iii.) The Association shall not conduct or carry on any activities not permitted to be conducted or carried on by an organization exempt from taxation under Section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they hereafter may be amended, or by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code and Regulations as they now exist or as they may hereafter be amended; and
iv.) Upon dissolution of the Association or the winding up of its affairs, the assets of the Association shall be distributed exclusively to one or more organization which would then qualify under the provisions of Section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they may hereafter be amended.
Membership in the Association shall be available to all persons who live in metropolitan Atlanta:
I.) Who are Yorubas by birth or marital status and are committed to the purposes of the Association as stated in these Articles; or
ii.) All persons who are not Yorubas but are willing to learn about traditional Yoruba culture and are committed to the purposes of the Association as stated in these Articles.
2. OFFICERS:
a.) Officers of the Association shall consist of a President, a Vice President, a Secretary, an Assistant Secretary, a Treasurer, a Social and Publicity Secretary and an Assistant Social and Publicity Secretary.
b.) Officers of the Association shall be elected by a simple majority of the members of the Association. No person shall hold more than one office at the same time. But officers may serve consecutive terms.
c.) Officers of the Association shall constitute the Executive Committee. The Executive Committee may act on behalf of the Association.
d.) Officers of the Association shall not be compensated for their services, but they may be reimbursed for expenses incurred while acting on behalf of the Association.
The term of existence of this Association shall be perpetual.
